SEC Updated General Information Sheet (GIS) Forms

On August 14, 2013, the Securities and Exchange Commission posted in its website the revised General Information Sheet (GIS) forms.  These forms can be downloaded below:

The SEC issued SEC Memorandum Circular No. 10, Series of 2013 mandating the amendments of the existing GIS, full text of which is provided below.  You may also download SEC Memorandum Circular No. 10, Series of 2013HERE.

Full text of SEC Memorandum Circular No. 10, Series of 2013

The Commission en banc in its meeting of May 6, 2013 resolved to approve the following amendments in the existing prescribed General Information Sheet (GIS):

1. The number of copies to be submitted from five (5) to four (4) copies;

2. The requirement of Tax Identification Number (TIN) for foreign nationals who are directors/trustees, officers, stockholders/members and resident agents of both domestic and foreign corporations instead of the passport in accordance with Memorandum Circular No. 1, series of 2013;

3. Inclusion of “Gender/Sex” in the page for directors, trustees and officers in accordance with the Commission’s Resolution No. 227, series of 2013; and

4. Inclusion of page I-A pursuant to Anti-Money Laundering Act, as amended.

Accordingly, the new GIS form shall be used by corporations beginning 3 June 2013. This Circular shall take effect immediately.

  3. Hello sir, regarding page 1-A, for letter B, do we have to comply with AMLA? If we check “NO”, is it acceptable? Or should we create our own CDD or KYC? Please advice.

    • Hi Irene! If you fall within any of the companies enumerated there under, then you should check “Yes”, otherwise, “No” would be acceptable? What’s the nature of your business, is the primary consideration for this.

  6. Good day, Sir! Thank you for this helpful information! We are a foreign religious organization, doing missionary work in the Philippines, duly registered with the SEC. Our local office handles the receipt and disbursement of donations from the USA, for both salaries and designated “work funds”. We provide a business address for our international workers in the Philippines. We manage donated funds, using bank accounts. Do these activities fall under any of the categories on page 1-A? Perhaps no. 6.c., number 7.a,b,and c? Are we top check ALL boxes that apply, or which one, if any?

  11. hi sir, pwede po ba magtanong kung anu ano pa po ba ang mga kailangang isubmit ng school namin sa SEC na galing daw po sa CPA bukod sa financial statement? tnx

  12. Hello, po! Kapag NGO po, sino po ba sa Board ang dapat magfile ng G.I.S. sa SEC? Nung Board Secretary po ako sa alumni association namin, ako and nagfafile dahil sa pagkakaintindi ko sa No.4 ” ‘THIS GIS SHALL BE ACCOMPLISHED IN ENGLISH AND CERTIFIED AND SWORN TO BY THE CORPORATE SECRETARY OF THE CORPORATION.” ay ang secretary nga ang dapat na magfile. Tatlong taon ko rin inasikaso rin.

    Ngayon, bilang treasurer so isang N.G.O., akon ang inaasahang magfile ng Board Secretary namin. Ika niya, sa kumpaniya niya at sa malaking N.G.O. kung saan siya ay Presidente ay ang accountant and nagfafile ng lahat nag iyon.

    Pakiramdam ko naman, nabubully ako rito. N’ung nakaraang dalawang taon, tinulungan ko na ring magfile – para naman sa N.G.O. Hindo ko na nga lang maasikaso na. Ano po ba ang tama? Sana po’y puwede n’yo kaming payuan.
